Operator: Counter Culture US, Inc., a Delaware corporation, doing business as Keens Academy (“Keens Academy,” “Keens,” “we,” “us,” or “our”)
Address: 2035 Sunset Lake Road, Suite B-2, Newark, Delaware, United States
This Parent or Legal Guardian Safety Consent (“Consent”) applies when a participant has not reached the age of legal majority where the participant lives (“Minor Participant”). It covers the Minor Participant’s use of Keens Academy’s online dance, movement, vocal, performance, conditioning, practice, live-class, recorded-class, coaching, and assessment services (collectively, the “Program”).
This Consent addresses physical participation. If the Minor Participant is under 13 in the United States, or below the parental-consent age that applies where the Minor Participant lives, the parent or guardian must also complete the separate Children’s Privacy Notice and Verifiable Parental Consent before Keens collects the child’s personal information.
1. Parent or Guardian Authority
I confirm that:
- I am the Minor Participant’s parent or legal guardian;
- I have legal authority to make decisions about the Minor Participant’s participation;
- the information I provide about myself and the Minor Participant is accurate; and
- I voluntarily consent to the Minor Participant’s participation subject to this Consent.
Keens Academy may take reasonable steps to verify my identity and authority where required by privacy, child-protection, consumer, or other applicable law.
2. Choice to Participate
Participation is voluntary. I will decide whether each activity is suitable for the Minor Participant, considering age, maturity, ability, health, physical condition, environment, and available supervision.
I will not permit participation while the Minor Participant is impaired by medication effects, extreme fatigue, illness, or any other condition that could make participation unsafe.
3. Medical Notice
Keens Academy, its instructors, coaches, automated systems, and service providers do not provide medical advice, diagnosis, treatment, rehabilitation, or emergency services. Comments about posture, technique, movement, voice, breathing, or performance are educational observations, not medical findings.
If the Minor Participant has a health condition, injury, disability, recent surgery, history of fainting, cardiovascular or respiratory condition, joint or musculoskeletal problem, vocal disorder, or any other concern that could affect safe participation, I will consult a qualified healthcare professional and follow that professional’s guidance before permitting participation.
4. Limits of Online Instruction and Automated Feedback
I understand that remote instructors and automated or AI-assisted tools cannot fully observe or verify:
- the Minor Participant’s physical condition, pain level, fatigue, balance, breathing, hydration, or readiness;
- the safety of the floor, room, furniture, equipment, clothing, footwear, or surroundings;
- whether an exercise is being performed correctly;
- events outside the camera frame;
- technical delays, dropped frames, incorrect camera angles, or misunderstood instructions; or
- whether medical attention is needed.
Automated or AI-assisted feedback may be incomplete, delayed, or inaccurate. I will not treat it as medical advice or as a guarantee that an activity is safe or technically correct.
5. Risks of the Program
The Program may involve foreseeable and unforeseeable risks, including:
- muscle soreness, strains, sprains, cramps, tendon or ligament injuries;
- joint, back, neck, knee, ankle, wrist, or other musculoskeletal injuries;
- slips, trips, falls, loss of balance, and collision with people, furniture, walls, or equipment;
- fatigue, overheating, dehydration, dizziness, fainting, nausea, shortness of breath, or cardiovascular stress;
- throat discomfort, hoarseness, vocal fatigue, or vocal injury;
- aggravation of a known or unknown condition or prior injury;
- emotional discomfort, frustration, embarrassment, or performance anxiety;
- hearing discomfort from excessive audio volume;
- risks caused by limited space, unsuitable surfaces, improper clothing or footwear, cords, mirrors, props, pets, children, or other hazards;
- risks associated with live streaming, recording, uploading, or technical failure; and
- delayed assistance because Keens Academy is not physically present.
Serious injury is possible even when reasonable care is used.
6. Parent or Guardian Safety Responsibilities
I will take reasonable, age-appropriate steps to:
- Provide a stable, dry, non-slip surface with enough clear space.
- Remove or avoid furniture, cords, sharp objects, breakable objects, pets, and other hazards.
- Provide suitable clothing, footwear, audio volume, equipment, lighting, hydration, and breaks.
- Ensure that the Minor Participant warms up, progresses gradually, follows reasonable safety directions, and uses modifications when appropriate.
- Prevent movements, ranges, speeds, loads, or vocal techniques beyond the Minor Participant’s current ability.
- Provide age-appropriate supervision and remain available when reasonably necessary.
- Keep a way to contact local emergency services available.
- Stop participation immediately if the Minor Participant experiences or shows pain beyond ordinary exercise discomfort, chest pain, dizziness, faintness, unusual shortness of breath, loss of balance, numbness, sudden weakness, confusion, blurred vision, nausea, a new injury, acute throat or vocal pain, significant distress, or any other unusual or concerning symptom.
- Obtain appropriate medical attention when necessary.
7. Camera-Off and Non-Recording Options
The camera is intended to remain off by default unless the Minor Participant and I choose a feature that requires video or audio. Available non-camera learning and practice features may be used without accepting assessment recording.
We may decline an optional recording and return to an available camera-off path. Declining an optional recording does not, by itself, prevent access to Program features that do not reasonably require recording.
8. Assessment Recordings
If I separately authorize the Minor Participant to submit a video or audio assessment, Keens Academy may use that submission only for evaluation, feedback, instructional support, progress tracking, safety or integrity review, and operation of the requested assessment service, as explained in the Privacy Policy and, when applicable, the Children’s Privacy Notice.
Assessment recordings are not authorized for advertising, public promotion, social media, testimonial use, or AI model training under this Consent. Marketing or promotional use requires a separate optional Media and Marketing Consent from the parent or legal guardian. Refusing that separate consent will not prevent the Minor Participant from using the core Program.
9. Emergency Situations
Keens Academy is not an emergency service and cannot provide on-site assistance. In an emergency, I will stop the Minor Participant’s participation and contact emergency services where the Minor Participant is located. I will not rely on an instructor, automated tool, chat function, or support channel to detect or respond to an emergency.
10. Acknowledgment and Assumption of Risk
I understand the Program’s nature, the limits of remote instruction, and the risks described above. I consent to the Minor Participant’s participation with knowledge of the ordinary and inherent risks.
To the fullest extent permitted by applicable law, I accept those risks on my own behalf and, only where I am legally permitted to do so, on behalf of the Minor Participant. Nothing in this Consent waives or limits a right or claim that a parent, guardian, or minor cannot legally waive.
11. Limited Release
To the fullest extent permitted by applicable law, and only to the extent I have legal authority to do so, I release Counter Culture US, Inc. d/b/a Keens Academy and its directors, officers, employees, instructors, and contractors from claims arising from ordinary and inherent risks of voluntary participation, conditions in the environment or equipment that I select or control, or failure by the Minor Participant or me to follow safety instructions or stop when appropriate.
This release does not apply to gross negligence, reckless or intentional misconduct, fraud, violation of law, or any right or claim that cannot legally be waived. It does not waive mandatory consumer, privacy, child-protection, or other non-waivable rights. The enforceability and scope of a parental release vary by jurisdiction.
12. Governing Law and Local Rights
To the extent permitted by applicable law, this Consent is governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Mandatory protections where the Minor Participant or I live remain in effect.
If any provision is unenforceable, it will be limited or separated only to the extent necessary, and the remaining provisions will continue in effect.
13. Electronic Acceptance and Records
I agree that checking the required boxes and typing my full legal name constitutes my electronic signature. Keens Academy may retain the version shown to me, the Minor Participant’s account identifier, my identity and relationship information, consent selections, verification evidence, date and time, country or locale, and related technical records reasonably necessary to document consent. I may request a copy through the account or at [email protected].
