Operator: Counter Culture US, Inc., a Delaware corporation, doing business as Keens Academy (“Keens Academy,” “Keens,” “we,” “us,” or “our”)
Address: 2035 Sunset Lake Road, Suite B-2, Newark, Delaware, United States
These Copyright and Content Use Terms (“Content Terms”) apply to Keens Academy lessons, choreography instruction, vocal exercises, training plans, videos, audio, graphics, text, assessments, feedback materials, interfaces, software, and other content made available through the Services (“Keens Content”).
1. Ownership
Keens Content is owned by Counter Culture US, Inc. or used under license from instructors, creators, licensors, or other rights holders. Copyright, trademark, contract, and other applicable laws protect Keens Content.
No ownership of Keens Content transfers to a user. “Keens Academy,” associated logos, and other source identifiers may be trademarks or service marks and may not be used in a way that falsely suggests endorsement, affiliation, or authorization.
2. Limited Permission to Use Keens Content
Subject to payment, account eligibility, these Content Terms, and the other applicable agreements, Keens Academy grants the user a limited, personal, non-exclusive, non-transferable, revocable right to access and use Keens Content solely for the user’s own non-commercial learning and practice.
This permission does not authorize public performance, commercial teaching, redistribution, publication, resale, sublicensing, or creation of a competing content library or service.
3. Prohibited Uses
Unless Keens Academy or the relevant rights holder gives prior written authorization, a user may not:
- copy, record, screenshot, screen-capture, download, reproduce, or archive Keens Content except through an expressly provided feature;
- upload, post, transmit, sell, rent, license, redistribute, or publicly display Keens Content;
- share account access or provide Keens Content to a person who is not authorized to receive it;
- remove copyright, trademark, watermark, attribution, access-control, or rights-management information;
- circumvent technical restrictions or security controls;
- translate, adapt, synchronize, remix, or create derivative instructional materials for distribution or commercial use;
- use Keens Content to train or develop an AI model, dataset, automated instructor, or competing service;
- use clips, screenshots, instructor likenesses, or branding in advertising, endorsements, or merchandise; or
- encourage or help another person to do any of these things.
Ordinary notes written by a learner for personal study are permitted, provided they do not reproduce a substantial part of protected materials and are not distributed.
4. Choreography, Music, and Third-Party Materials
The Services may refer to choreography, music, performances, names, marks, or materials owned by third parties. Access through Keens Academy does not grant a user public-performance, synchronization, master-use, mechanical, publicity, trademark, or other rights beyond the limited personal learning use stated here.
A user is responsible for obtaining rights needed for the user’s own public performance, recording, livestream, upload, competition, commercial project, or distribution. Keens Academy does not represent that all uses of a song, choreography, or third-party material are cleared for every country or purpose.
5. User Content
A user retains ownership of original content that the user creates and submits, subject to the rights of other people and any third-party material included in it.
The user grants Keens Academy a limited, non-exclusive license to host, store, process, reproduce internally, transmit, and display submitted content only as reasonably necessary to:
- provide the selected class, assessment, feedback, progress tracking, support, safety, and security functions;
- comply with the Privacy Policy and applicable law; and
- maintain authorized backups during the disclosed retention period.
This operational license ends when the content is deleted from active systems, except for access-restricted backups, legal requirements, or records necessary to establish or defend rights. It does not authorize advertising, public promotion, testimonial use, or AI model training.
6. Other Participants’ Content
A user may not record, copy, disclose, or reuse another participant’s image, voice, performance, feedback, message, or personal information without clear authorization. The Community Conduct and Confidentiality Agreement applies in addition to these Content Terms.
7. Feedback About the Service
If a user voluntarily provides ideas or suggestions about service features, Keens Academy may use that feedback without payment or attribution, provided the feedback does not include another person’s confidential information or grant Keens Academy rights in the user’s assessment recording or creative performance beyond the operational license above.
8. Copyright Reports
A rights holder or authorized representative may report allegedly infringing material to [email protected] and should provide:
- identification of the copyrighted work;
- identification and location of the material at issue;
- contact information;
- a good-faith statement that the disputed use is not authorized; and
- a statement that the information is accurate and that the reporting person is authorized to act.
Keens Academy may request additional information, remove or restrict material, notify the affected user, and process a valid counter-notice where applicable.
9. Enforcement
Keens Academy may use proportionate measures, including warning, content removal, feature restriction, temporary suspension, or termination for serious or repeated violations. Immediate restriction may occur when reasonably necessary to protect rights, users, evidence, or the Services.
These Content Terms do not impose automatic unlimited liability or a predetermined penalty. Actual remedies and damages, if any, are determined under applicable law and agreements. Refund rights are governed by the applicable Terms of Service and mandatory consumer law.
10. Governing Law and Local Rights
To the extent permitted by applicable law, these Content Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Mandatory protections where the user lives remain in effect.
If any provision is unenforceable, it will be limited or separated only to the extent necessary, and the remaining provisions will continue in effect.
11. Electronic Acceptance
Keens Academy may retain the version presented, account identifier, consent selections, typed name or signature, parent or guardian information when applicable, date and time, country or locale, and related technical records reasonably necessary to document acceptance.
