Operator: Counter Culture US, Inc., a Delaware corporation, doing business as Keens Academy (“Keens Academy,” “Keens,” “we,” “us,” or “our”)
Address: 2035 Sunset Lake Road, Suite B-2, Newark, Delaware, United States
This Agreement applies to learners, parents, guardians, instructors, guests, and other users participating in Keens Academy classes, Practice Hall sessions, assessments, community features, group communications, or related activities (collectively, the “Community”).
1. Purpose
Keens Academy is intended to provide a respectful, safe, and focused learning environment. Users may encounter other people’s names, faces, voices, performances, feedback, messages, schedules, or other personal information. This Agreement explains how users must behave and protect that information.
2. Respectful Conduct
I will:
- treat learners, parents, instructors, staff, and guests with respect;
- follow reasonable class, safety, privacy, and moderation instructions;
- give feedback constructively and avoid humiliating or demeaning comments;
- use age-appropriate language and behavior;
- respect personal boundaries, cultural differences, ability levels, and chosen names; and
- report safety, harassment, privacy, or account-security concerns through the designated support or reporting channel.
I will not:
- harass, bully, threaten, intimidate, stalk, shame, or discriminate against another person;
- engage in sexualized conduct, grooming, exploitation, or inappropriate contact with a minor;
- impersonate another person or misrepresent my authority, identity, age, or relationship;
- attempt to obtain another user’s password, home address, school, private contact details, or other unnecessary personal information;
- circumvent access controls, moderation, safety settings, or account restrictions;
- distribute malware, spam, scams, or unauthorized commercial promotions; or
- interfere with a class, assessment, platform, instructor, or another learner’s participation.
3. Confidentiality and Other People’s Privacy
Unless Keens Academy and the affected person have clearly authorized a specific disclosure, I will not:
- record, photograph, screenshot, screen-capture, download, copy, or transcribe another participant;
- share another person’s name, image, voice, performance, feedback, messages, schedule, contact details, account information, or personal circumstances;
- post class, Practice Hall, assessment, or community content to social media, messaging groups, websites, file-sharing services, or AI services;
- identify or discuss another learner outside the authorized learning setting; or
- use information learned through Keens Academy to contact, profile, target, or exploit another person.
This restriction applies even if a platform feature technically permits recording, capture, download, or forwarding.
4. Reasonable Exceptions
This Agreement does not prevent a good-faith report to:
- Keens Academy support, safety, privacy, or moderation personnel;
- a parent or legal guardian responsible for a minor;
- emergency services, law enforcement, a regulator, or a court;
- a qualified professional when reasonably necessary for safety or legal advice; or
- another person when disclosure is required by law.
When making a report, I will share only what is reasonably necessary and use a secure channel where possible. Nothing in this Agreement prohibits legally protected reporting or speech that cannot lawfully be restricted.
5. Minors
Adults and older learners must maintain appropriate boundaries with minors. A user must not move a communication with a minor to an unauthorized private channel, seek unnecessary personal information, arrange an unapproved in-person meeting, or ask a minor to conceal a communication from a parent or guardian.
Parents and guardians should supervise participation in an age-appropriate manner and promptly report concerning contact or behavior.
6. My Own Information and Content
I will avoid sharing unnecessary personal information in public or group spaces. I am responsible for information that I voluntarily post, but Keens Academy’s Privacy Policy and applicable law govern Keens Academy’s collection and use of that information.
I will upload only content that I am authorized to share and that does not violate another person’s privacy, copyright, publicity rights, or other rights.
7. Reports and Review
A person may report a concern to [email protected]. Keens Academy may review relevant account, message, class, access, or technical records consistent with the Privacy Policy and applicable law.
Where reasonably possible, Keens Academy will consider the seriousness, context, age of the people involved, immediate safety needs, prior conduct, and available evidence. Keens Academy may contact a parent or guardian when appropriate and lawful.
8. Proportionate Responses
Depending on the circumstances, Keens Academy may:
- provide guidance or a warning;
- remove content or limit a feature;
- require additional supervision or safeguards;
- temporarily restrict or suspend access;
- remove a user from a class or community space;
- terminate access for serious or repeated violations; or
- notify a parent, guardian, relevant organization, emergency service, or authority when reasonably necessary or required by law.
Immediate restriction may occur when Keens reasonably believes it is necessary to protect a person, preserve evidence, or secure the Services. Where appropriate, Keens will provide notice and a reasonable opportunity to respond or appeal. Refund rights, if any, are governed by the applicable Terms of Service and mandatory consumer law, not by this Agreement alone.
9. No Unlimited Liability or Automatic Penalty
A violation does not automatically create unlimited liability, automatic forfeiture, or a predetermined monetary penalty. Responsibility for actual harm, costs, or legal remedies will be determined under the applicable agreement and law.
10. Relationship to Other Documents
This Agreement operates together with the Keens Academy Privacy Policy, Children’s Privacy Notice, Safety Waiver or Parent/Guardian Safety Consent, Copyright and Content Use Terms, and applicable Terms of Service. If documents conflict, mandatory law and the more specific applicable document control to the extent of the conflict.
11. Governing Law and Local Rights
To the extent permitted by applicable law, this Agreement is governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Mandatory protections where the user lives remain in effect.
If any provision is unenforceable, it will be limited or separated only to the extent necessary, and the remaining provisions will continue in effect.
12. Electronic Acceptance
Keens Academy may retain the version presented, account identifier, consent selections, typed name or signature, parent or guardian information when applicable, date and time, country or locale, and related technical records reasonably necessary to document acceptance.
